管理制度
为加强公司的规范化管理，完善各项工作制度，促进公司发展壮大，提高经济效益，根据国家有关法律、法规及公司章程的规定，特制订本公司管理制度。
一、总则
1、公司全体员工必须遵守公司章程，遵守公司的各项规章制度和决定。
2、禁止任何部门、个人做有损公司利益、形象、声誉或破坏公司发展的事情。
3、公司鼓励员工积极参与公司的决策和管理，鼓励员工发挥才智，提出合理化建议。
4、公司实行“以按劳分配为主，综合评定为辅”的分配制度，为员工提供收入和福利保证，并随着经济效益的提高逐步提高员工各方面待遇；公司为员工提供平等的竞争环境和晋升机会；公司推行岗位责任制，实行考勤、考核制度，评先树优，对做出贡献者予以表彰、奖励。
5、公司提倡求真务实的工作作风，提高工作效率；提倡厉行节约，反对铺张浪费；倡导员工团结互助，同舟共济，发扬集体合作和集体创造精神，增强团体的凝聚力和向心力。
6、员工必须维护公司纪律，对任何违反公司章程和各项规章制度的行为，都要予以追究。
二、考勤制度
1、公司员工必须自觉遵守劳动纪律，按时上下班，不迟到，不早退，工作时间不得擅自离开工作岗位，外出办理业务前，须经本部门负责人同意。
2、工作时间按照国家规定为为双休制（民用部门除外）。
3、严格请、销假制度。员工因私事请假1天以内的（含1天），由部门负责人批准；1天以上的，报总经理批准。部门负责人请假，由总经理批准。请假员工事毕向批准人销假。未经批准而擅离工作岗位的按旷工处理。
4、上班时间开始后5分钟至30分钟内到班者，按迟到论处；超过30分钟以上者，按旷工半天论处。提前30分钟以内下班者，按早退论处；超过30分钟者，按旷工半天论处。
5、一个月内迟到、早退累计达3次者，扣发2天的基本工资；累计达3次以上5次以下者，扣发5天的基本工资；累计达5次以上10次以下者，扣发当月10天的基本工资；累计达10次以上者，予以辞退，并扣发当月工资。
6、旷工半天者，扣发当天的基本工资、效益工资和奖金；每月累计旷工1天者，扣发3天的基本工资、效益工资和奖金，并给予一次警告处分；每月累计旷工2天者，扣发7天的基本工资、效益工资和奖金，并给予记过1次处分；每月累计旷工3天者及以上，予以辞退并扣发当月工资。
7、工作时间禁止打牌、下棋、串岗聊天等做与工作无关的事情。如有违反者每次罚款20元。
8、参加公司组织的会议、培训、学习、考试或其他团队活动，如有事请假的，必须提前向组织者或带队者请假。在规定时间内未到或早退的，按照本制度相关条款处理；未经批准擅自不参加的，视为旷工。
9、员工按规定享受探亲假、婚假、产育假、结育手术假时，必须凭有关证明资料报总经理批准；未经批准者按旷工处理。员工病假期间只发给基本工资。
10、员工的考勤情况，由公司前台统一管理，各部门负责人进行监督、检查，部门负责人对本部门的考勤要秉公办事，认真负责。如有弄虚作假、包痹袒护迟到、早退、旷工员工的，一经查实，按处罚员工的双倍予以处罚。
三、人事管理制度
1、公司对员工实行合同化管理。所有员工都必须与公司签订聘、(雇)用合同。员工与公司的关系
为合同关系，双方都必须遵守合同。
2、公司人事负责人负责公司的人事计划、员工的培训、奖惩；劳动工资、劳保福利等项工作的实施，并办理员工的考试录取、聘用、商调、解聘、辞职、辞退、除名、开除等各项手续。
3、公司各职能部门，用人实行定员、定岗，其设置、编制、调整或撤销，由总经理批准后实施。
4、因业务发展需要、各部门需要增加用工的，一律报总经理审批。
5、公司聘用的员工，一律与公司签订聘用合同。
6、公司内部若有空缺或有新职时，可能由内部晋升或调职，出现下列情形进行对外招聘。
1）公司内部无合适人选时；
2）需求量大，内部人力不足；
3）需特殊技术或专业知识须对外招募人才时。
7、甄选员工任用之主要原则是应聘者对该申请职位是否合适而定，并以该职位所需的实际知识及应聘者所具备的素质工作态度、工作技能及潜质和工作经验等为准则，经所属部门考核合格任用。
8、新聘(雇)员工，用人单位和受聘人必须填写《员工登记表》，由用人单位签署意见，拟定工作岗位，经人事部审查考核，符合聘雇条件者，先签试用合同，经培训后试用3个月。
9、新员工正式上岗前，必须先接受培训。培训内容包括学习公司章程及规章制度，了解公司情况，学习岗位业务知识等。
10、员工试用期满15天前，由用人部门作出鉴定，提出是否录用的意见，报总经理审批。批准录用者与公司签订聘(雇)用合同。
11、公司按照按劳取酬、多劳多得的分配原则，根据员工的岗位、职责、贡献、表现、工作年限、等情况综合考虑决定其工资。
12、员工的休假按国家有关规定执行。
13、公司有权辞退不合格的员工。员工有辞职的自由。但均须按本制度规定履行手续。
14、试用人员在试用期内辞职的应向人事负责人提出辞职报告，办理辞职手续。
15、员工与公司签订聘(雇)用合同后，双方都必须严格履行合同。员工不得随便辞职，部门不准无故辞退员工。
16、合同期内员工辞职的，必须提前1个月向公司提出辞职报告，由部门负责人签署意见，报总经理批准后，由人事负责人办理辞职手续。
17、员工未经批准而自行离职的，公司不予办理任何手续；给公司造成损失的，应负赔偿责任。
18、员工必须服从组织安排，遵守各项规章制度，凡有违反并经教育不改者，公司有权予以解聘、辞退。
19、公司对辞退员工持慎重态度。用人部门无正当理由不得辞退合同期未满的员工。确需辞退的，必须报总经理批准后，方可辞退。未经总经理批准的，不得辞退。
20、聘(雇)用期满，合同即告终止。员工或公司不续签聘(雇)用合同的，办理终止合同手续。
21、员工严重违反规章制度、后果严重或者违法犯罪的，公司有权予以开除。
22、员工辞职、被辞退、被开除或终止聘(雇)用，在离开公司以前，必须交还公司的一切财物、文件及业务资料，并移交业务渠道。否则，不予办理任何手续；给公司造成损失的，应负赔偿责任。
四、差旅费管理制度
1、本办法适用于本公司因公出差支领旅费的员工。
2、出差旅费分交通费、宿费及特别费三项：
1）交通费系指火车、汽车、飞机等费用。
2）膳宿费系指膳食费及宿费。
3）特别费系指因公支付邮电或招待费等。
3、员工因公出差，应事先填明员工出差申请单，经部门负责人审核并呈报总经理批准后出差，如因事情紧急而未及时填表，须事先由部门负责人口头报告总经理，等返回公司后，应立即补办手续，员工出差报支表的处理程序如下：
1）出差前依单填明姓名、出差事由、搭乘交通工具、出差日期、预支金额，经部门负责人审核后呈报总经理批准。
2）出差人凭核准的预支金额，填写借款单，向财务预支差旅费。
3）出差人返回后7日内应填写差旅费报销单，注明实际出差日期、起始讫地点、工作内容、报支项目、金额等，由所属部门和财务部负责人审核后报总经理批准，由财务部在报销时冲销预支数。
4、费用报销
1)市级以上城市宿费上限100元/日，其他城市宿费上限80元/日，另伙食补助30元/天，市内交通补助10元/天。长途交通费以经主管领导核准的交通方式依票据实报实销。
2）公司员工出差期间，确因工作需要宴请时，需经主管领导核准，依票据实报实销，同时取消当日伙食补助。
3）公司员工出差期间，因游览或非工作需要的参观而开支的一切费用，由个人自理。
5、因公出差、经总经理批准借支公款，应在回单位后七天内交清，不得拖欠。非因公事并经总经理批准，任何人不得借支公款。
五、保密制度
1、全体员工都有保守公司秘密的义务。在对外交往和合作中，须特别注意不泄露公司秘密，更不准出卖公司秘密。
2、公司秘密是关系公司发展和利益，在一定时间内只限一定范围的员工知悉的事项。公司秘密包括下列秘密事项：
1）公司经营发展决策中的秘密事项；
2）人事决策中的秘密事项；
3）专有技术；
4）重要的合同、客户和合作渠道；
5）公司非向公众公开的财务情况、银行帐户帐号；
6）董事会或总经理确定应当保守的公司其他秘密事项。
3、属于公司秘密的文件、资料，应标明“秘密”字样，由专人负责印制、收发、传递、保管，非经批准，不准复印、摘抄秘密文件、资料。
4、公司秘密应根据需要，限于一定范围的员工接触。接触公司秘密的员工，未经批准不准向他人泄露。非接触公司秘密的员工，不准打听公司秘密。
5、记载有公司秘密事项的工作笔记，持有人必须妥善保管。如有遗失，必须立即报告并采取补救措施。
六、附则
各部门有权针对本部门设置管理及考核制度，但不得与本制度相冲突。
